On-Site Training Terms & Conditions

Overview

These Terms and Conditions govern the delivery of training by a TeamHQ representative at a client's premises or another off-site location. They apply in addition to, and should be read together with, TeamHQ's Training Cancellation and Refund Policy, which governs cancellation, rescheduling, and refund terms. By engaging TeamHQ to deliver on-site training, the client agrees to be bound by the terms set out below.

Client Site Obligations

  • The client shall provide a suitable room, adequate power, and any audio-visual equipment reasonably required for the session, and shall ensure safe access to the venue for TeamHQ's representative.
  • The client shall disclose to TeamHQ, in advance of the scheduled session, any site-specific health and safety or security requirements applicable to visitors, and TeamHQ's representative will comply with those requirements while on the client's premises.
  • Where the client provides equipment for use in the session, the client warrants that such equipment is in good working order and fit for purpose. TeamHQ shall not be liable for any disruption to, or shortfall in, the delivery of the session arising from faulty or unsuitable client-supplied equipment.

Equipment and Liability

  • The client shall be liable for the loss of, or damage to, any equipment or materials brought onto its premises by TeamHQ, other than loss or damage arising from fair wear and tear or from TeamHQ's own negligence.
  • TeamHQ shall likewise be liable for the loss of, or damage to, any property of the client caused by TeamHQ's representative while on the client's premises, other than loss or damage arising from fair wear and tear or from any act or omission of the client or its attendees.
  • TeamHQ shall maintain public liability insurance for the duration of the engagement and will provide a certificate of currency upon reasonable request.
  • Each party shall indemnify the other against any loss, cost, or expense arising from that party's breach of this document or from the negligence of that party, its representatives, or attendees, save to the extent caused or contributed to by the other party's own negligence or breach.
  • TeamHQ's total liability to the client arising out of or in connection with the delivery of on-site training shall not exceed the total fees paid by the client for the session giving rise to the claim, except that this limit shall not apply to liability arising from death or personal injury caused by negligence, fraud, or breach of the confidentiality obligations set out in this document.

Confidentiality and Intellectual Property

  • All training materials, slides, templates, and documentation provided by TeamHQ remain the intellectual property of TeamHQ and are provided to the client for internal training purposes only, unless otherwise agreed in writing.
  • Each party shall treat as confidential any information disclosed by the other party in connection with the session that is designated as confidential or would reasonably be understood to be confidential, and shall not disclose such information to any third party without consent.
  • Where TeamHQ's representative is given access to student or client data in the course of delivering training, that data will be used solely for the purpose of delivering the session and will not be retained beyond what is reasonably necessary for that purpose.
  • Where a session involves use of the EnrolHQ or PortalHQ platform, that use remains governed by TeamHQ's End User License Agreement, and nothing in these Terms and Conditions varies the terms of that agreement.
  • Where personal information of students or staff is handled in connection with a session, each party will comply with its obligations under the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

Conduct and Recording

  • Both TeamHQ and the client are expected to ensure their respective representatives and attendees conduct themselves professionally and respectfully during any session.
  • The client is responsible for ensuring attendees engage with the session appropriately and in accordance with reasonable professional standards.
  • TeamHQ is responsible for ensuring its representative delivers the session professionally, treats attendees with courtesy and respect, and does not engage in discriminatory, harassing, or otherwise inappropriate conduct.
  • TeamHQ reserves the right to pause or end a session where the conduct of an attendee is abusive, unsafe, or otherwise prevents the session from being delivered effectively. Equally, the client may raise any concerns regarding the conduct of TeamHQ's representative directly with TeamHQ for prompt resolution.
  • No part of a session may be recorded, photographed, or live-streamed without TeamHQ's prior written consent.

General Terms

  • All notices required under these Terms and Conditions must be submitted in writing.
  • All fees quoted are exclusive of GST unless otherwise stated.
  • Cancellation, rescheduling, refund, and force majeure terms are set out in TeamHQ's Training Cancellation and Refund Policy, which applies alongside these Terms and Conditions.
  • These Terms and Conditions are governed by the laws of New South Wales, Australia.
  • TeamHQ reserves the right to amend these Terms and Conditions from time to time. The version in effect at the time of booking shall govern that booking.
  • Nothing in these Terms and Conditions excludes, restricts, or modifies any guarantee, right, or remedy conferred on the client by the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified.
  • If a dispute arises under these Terms and Conditions, the parties will first seek to resolve it in good faith through discussion between authorised representatives before pursuing any other remedy.
